貸主は、第一条に記載された区画(以下本区画と云う。叶屋注)の賃貸借を管理する法的な権限を持っている。この区画は、ホテル日航バンコクの2階と3階にあり、第   区画である。

The Lessor agrees to give lease and The Lessee agrees to take lease of The Space, as mentioned above for the purpose of conducting business as determined by the Lessor
貸主は、賃貸することに合意する。借主は、本区画を賃借することに合意する。
Both parties agree to enter into this SPACELEASE AGREEMENT for The Property as follows.
貸主と借主は、下記の賃貸借契約を取り結ぶことに合意する。

Clause 1. The Rental Space 第1条 賃貸借区画
The Rental Space is located at number……………………………………on……………………………floor of…………………………………………………..building, in the space of…………………………………square meters, hereinafter known as The Rental Space as appeared on The Rental Space location map attached hereto and deemed as a part hereof. (区画場所の規定)
Incidentally, if the area of The Rental Space exceeds or lacks, the rent will be based on that specified in this SPACE LEASE AGREEMENT in disregard of the excess or shortage of The Rental Space area.
本区画の面積に過不足が発生した場合には、実測した面積には関わらず、賃料は本契約書に記載された賃料に基づく。
Clause 2. Type of Business / Purpose of the lease  第2条 賃借におけるビジネスのタイプと目的 (借主が本区画で営業する業態のこと。叶屋注)
The Lessee shall use The Rental Space for the purpose of conducting business on …………………………………………………………………………………………………………………………………………………………at the space determined by The Lessor by the trade name of ……………………………………………………………………………………………………………………………………………………………
業態と店舗名称を記入する;
The Lessee will engage in such business at the date and time defined by The Lessor and/or Premises Management Unit only.
Incidentally, date and time may change in the future as appropriate.
貸主とビル管理会社によって連絡される日時にて事業をスタートする。
Clause 3. Lease Term  賃貸借期間 2018年6月1日から2021年5月31日までの3年間
This agreement has a lease period of 3 years,effective on 1 June 2018 until 31 May 2021
Clause 4. Rent and Rent Payment 賃料と支払
4.1 The Lessee agrees to pay the rent to The Lessor on a monthly basis in advance on every 25th of the month at the rental rate as follows:
The rent for the 1st-3rd year, starting from 1 June 2018 until 31 May 2021, is 660 Baht per square meter (Six Hundred and Sixty Baht per Square Meter only) and shall be paid in advance on the date this SPACE LEASE AGREEMENT is signed.
借主は、貸主に毎月25日に前家賃として支払うこと。
2018年6月1日より1年目から3年目までは平米単価600バーツを支払う。本契約書に記載された日付の前に支払う。
4.2 The Lessee agrees to pay the communal fee as determined by the Premises Management Unit.
借主は、共益費をビル管理会社に支払うことに合意する。
4.3 The Lessee shall not be charged service nor rental fee during the period of decoration of the Rental Space carried out prior to the commencement of this SPACE LEASE AGREEMENT as specified in Clause 4.1.
借主は、第4条第一項にある契約書の開始時期以前に、本区画の内装造作作業の期間中には賃料やサービス料金を支払いする必要はない。
However, The Lessee agrees to pay for the expenses incurred from the actual use of the facilities during the decoration period.
借主は、内装造作作業期間中に施設使用の実費を支払うことを合意する。
Clause 5. Security Deposit
The Lessee agrees to deposit with The Lessor an amount equivalent to 3 months rent,
借主は、賃料3ヶ月分の保証金を支払うことに合意する。 金額

to serve as the security of the payment of rent, communal fee, service fee, compensation and fine for damage to the rented premises, and advancement of other debts that may incur from the breach of this SPACE LEASE AGREEMENT by The Lessee or its employees, servants, contractors, agents, licensees, visitors or invitees and/or all liability of The Lessee caused by other debt.
保証金は、賃料、共益費、サービス料、借主や従業員、業者、代理店、顧客、などによって本区画に損額を与えた場合の補償金として使用される。
The terms of deposit payment are in accordance with the attachment (if any).
保証金支払の規定は、添付書類(もしあれば)による。
If The Lessee/ service recipient defaults on any payment, The Lessor/service provider has the right to terminate the contract immediately
and confiscate the security deposit paid with the right to claim for damages and/or expenses from The Lessee/ service recipient.
借主及びサービス受給者が支払が出来ない場合は、貸主又はサービス供給者は即座に契約を停止する権利を有する。
保証金は、借主又はサービス受給者からの損害や支払に対するクレーム処理として保証金を使用する権利を有する。
Clause 6. Period of decoration of The Rental Space
第6条 本区画の内装造作作業の期間
The Lessee must complete the decoration of The Rental Space and be ready to conduct its business on 1 June 2018. If The Lessee is unable to conduct its business on the date set forth in this SPACE LEASE AGREEMENT, The Lessee agrees to let The Lessor impose the fine at the rate of 0.1 percent of the rental value of 3 years (zero point one per cent of the rental value of three years)
借主は、内装造作作業を2018年6月1日までに完了させねばならない。
借主が本契約書に規定された日に事業を開始することが出来ない場合は、借主は貸主に対して3年間の賃料の0.1%を罰金として支払うことを合意する。
Clause 7. Other conditions are to comply with the terms and conditions of the lease attached to this SPACE LEASE AGREEMENT and shall be deemed to be part of this SPACE LEASE AGREEMENT.
その他条件は、本契約書に添付される約款に規定される。約款は本契約書の一部である。
This SPACE LEASE AGREEMENT has been prepared in two identical copies. Both parties have read and understood the entire text of the SPACE LEASE AGREEMENT well and perceive it as accurately as possible. The parties hereunto affix their signatures and seals (if any) in the presence of witnesses.
本契約書は、2部作成する。
貸主と借主は、本契約書の全文を読み、理解する。 貸主と借主は、立会人の参加のもと、署名、捺印する。

LEASE TERMS AND CONDITIONS 賃貸借の諸規定と諸条件
Clause 1. Type of business and products distribution 業態と提供される商品
1.1 The Lessee agrees not to conduct the type of business that is different and/or in addition to that specified in this SPACE LEASE AGREEMENT unless The Lessee has a written consent from The Lessor to do so.
借主は、貸主の書類による同意を得る場合を除いて本契約書に規定される以外の又は追加して、新たな業態を行ってはならないことを借主は合意する。
1.2 If The Lessee misconducts under Clause 1.1, The Lessor has the right to terminate this SPACE LEASE AGREEMENT and/or require The Lessee to pay the fine at the rate of 2,000 Baht per day (Two Thousand baht per day only) for the conduct of business that is different and/or in addition to that specified in this SPACE LEASE AGREEMENT from the date of breach of this agreement until the date
借主が第一条一項に規定された行為を行った場合は、貸主は、本契約を解除する権利を有する。更に契約違反が発生した日から一日200バーツの料率で借主は罰金を支払うことを合意する。
The Lessor gives a written consent or until the date of termination of this agreement.
貸主は、契約が終了した書面を発行する。


1.3 In the case of The Lessee obtaining a written consent as specified under Clause 1.1, The Lessee shall pay a fee for the granting of consent to conduct different type of business in the amount of ……………………………… Baht (…………………………………………………………………..Baht only) and to conduct a business in addition to that specified in this SPACE LEASE AGREMENT in the amount of ………………………………… Baht (………………………………………………………………….. baht only) to The Lessor.
他業態を行った場合の金額の規定。

Clause 2. Security Deposit 第2条 保証金
2.1 If The Lessee does not pay the debt under this SPACE LEASE AGREEMENT and its terms and conditions and/or all liabilities of The Lessee’s and/or debtsincurred from other debts to The Lessor when it is due, The Lessee agrees to let The Lessor deduct from the security deposit as specified in this agreement immediately without prior notice. And if the amount exceeds the security deposit, The Lessee agrees to pay the excess.
借主が本契約書やその規定、諸条件のもと負債を支払わない場合、貸主が事前連絡無しに、本契約の保証金から負債を差し引くことを借主は同意する。
負債総額が保証金を上回った場合には、借主は上回った部分を支払うことを同意する。

2.2 In the case of security deposit has been reduced or exhausted due to the deduction under Clause 5 in this SPACE LEASE AGREEMENT, The Lessee is required to pay the additional deposits to maintain the original full amount immediately upon receiving a notice from The Lessor.
The Lessee also agrees that The Lessor has the right to require that The Lessee pays additional security deposit from that originally specified and/or provides a guarantor to The Lessor within 15 days (fifteen days) from the date of The Lessor makes the requirement. If The Lessee does not pay additional security deposit or provide a guarantor within the prescribed time, The Lessee agrees that The Lessor has the right to terminate this SPACE LEASE AGREEMENT immediately without prior notice.
Throughout this SPACE LEASE AGREEMENT, the security deposit cannot be deducted in substitution to the monthly rent.
保証金が負債を支払った為に減少した場合の規定。貸主は追加金を支払って全額に戻すことを求められる。

2.3 The Lessor agrees to return the security deposit under this SPACE LEASE AGREEMENT to The Lessee without any interest upon the expiration of this SPACE LEASE AGREEMENT, after The Lessor has deducted debts and/or other liabilities incurred from other debts of The Lessee whether or not due.
本契約の満了時に、貸主は、本契約のもと保証金を借主に返却することを合意する。利子は付かない。負債があった場合には差し引かれる。

2.4In the event The Lessor exercises the right to terminate this SPACE LEASE AGREEMENTdue to the breach of this SPACE LEASE AGREEMENT by The Lessee or the termination of this SPACE LEASE AGREEMENT by The Lessee prior to the end of this SPACE LEASE AGREEMENT, The Lessee agrees that The Lessor confiscate the security deposit specified in this SPACE LEASE AGREEMENT in full amount immediately.
借主が本契約書に違反した場合、貸主は、本契約書を解除する権利を有する場合又は本契約が満了する前に借主が契約を解約する場合には、
保証金は全額、償却されることを借主は承諾する。
The confiscation in such a case does not exclude the right of The Lessor to take legal action/sue The Lessee for the damage cost that exceeds the amount of the security deposit specified in this SPACE LEASE AGREEMENT.
この場合、保証金償却には関わらず、保証金の総額を超える損害に対して貸主が借主に対して裁判を含む法的行為を取る権利を有する。

Clause 3. The Lessee’s Covenants  借主の義務
3.1 The Lessee assures that it commences business on the leased space from the date commenced by this SPACE LEASE AGREEMENT onward or the date determined by The Lessor. This agreement is considered significant.
借主は、本契約に規定される開始日からビジネスを開始することを確約する。この点は重要である。
If The Lessee misconducts under this sub clause, The Lessor has the right to terminate this SPACE LEASE AGREEMENT immediately without prior notice.
借主が開店できなかった場合は、貸主は本契約を事前連絡無しに解除する権利を有する。
The Lessee cannot commence business prior to the commencement date of this SPACE LEASE AGREEMENT unless given a written permission from The Lessor upon The Lessee’s agreement to pay the rent and other service fee as specified in this SPACE LEASE AGREEMENT.
借主が貸主からの書面による承諾を得ずに、ビジネスを開始できなかった場合でも賃料とサービス料金を支払うことを借主は了承する。

3.2 The Lessee agrees to comply with the rules determined and/or promulgated by The Lessor and/or the Premises Management Unit either now or in the future, as well as amendments to the regulations that are considered significant and parts of this SPACE LEASE AGREEMENT.
The Lessee must abide by and keep its servants or employees from acting in violation of all the regulations provided by The Lessor or the Premises Management Unit.
借主は、貸主やビル管理会社が定める規定に従うことを合意する。借主の従業員も同様とする。

3.3 The Lessee assures that it will not definitely engage in any commercial activity that infringes the copyrights, trademark, service marks, and patents of others’, or commit in any actionthat is against the law or peace or morals of the people in the rental area. If The Lessee breaches this agreement, The Lessor has the right to terminate this SPACE LEASE AGREEMENT immediately without prior notice.
借主は、コピーライト、商標、特許や法律、道徳などに抵触する行為を本区画内で行わないことを保証する。
貸主が上記を行った場合、貸主は本契約を事前連絡無しに終了するこ。
The Lessee will not bring any fuel, all kinds of chemicals, explosives, gases, addictive substances, illegal articles including any items that are harmful to life and the rented property, nor commit in any actions or bring any equipment, which will cause danger or annoyance to other people or cause the system work of the property to be damaged, to the rented space without permission.
借主は、燃料、化学物質、爆薬、可燃性ガス、禁止薬物、不法文書など人々や本区画に害になるような物質を持ち込まないこと。
The Lessee will not commit in any action that will cause light, noise, smell, smoke or others to the rental area of other Lessees’ or public area or thegeneral public in the surrounding area
借主は、本区画や他の区画の迷惑になるような光、音、におい、煙などを発生させる行為をしないこと。
.If The Lessee act in such violations, The Lessor has the right to enter the rental area for any purpose to suspend such offending acts, as well as take legal action immediately as deemed appropriate and/or dismantle and remove the offending items out of the rental area of which all expenses must be paid by The Lessee.
借主がそのような行為をした場合には、貸主は本区画内に立ち入り、そのような行為を差し止める権利、同時に法的措置を取る権利を有する。

3.4The Lessee assures that she/he will not reside or allow any residency at the rental area.
借主は本区画ないに居住してはならない。
And The Lessee assures that the rental area will be used to conduct business and open to the public during hours of 10.00 to 24.00.
借主は、本区画を朝10時から夜24時までの間は営業することを保証する。
The Lessee is allowed to use the space for 1 hour (one hour) before the opening and 1 hour (one hour) after the closing to the public in addition to the aforementioned business hours. The Lessee and his/her servants or employees definitely cannot reside at the rental area.
借主は、上記の1時間前から1時間後まで本区画を使用することが出来る。

3.5 The Lessee will pay the rent, communal fee, service charge and any other fee that The Lessee is obliged to pay to The Lessor and/or the service unit immediately upon the duedate at The Lessor's office and/or the service unit and/or the Premises Management Unit by means determined by The Lessor.
借主は、賃料、共益費、サービス費、その他費用を借主やその他サービス会社やビル管理会社が定める支払期限までに支払うこと。

3.6 The Lessee will not use the rental space for the sale of any other type of merchandise other than those specified in this SPACE LEASE AGREEMENT unless a written permission from The Lessor is obtained.
借主は、貸主からの文書による同意がない場合には、本契約書に規定される以外の商品の販売を出来ない。

3.7 In the event of decoration, remodeling, adaptation including modification and maintenance of the rental area, The Lessee must provide a detailed description of the decoration, modification, and maintenance in writing and request the approval in writing from The Lessor before carrying out such decoration, remodeling, modification, and maintenance activities.
本区画の内装造作や改装、メンテナンスの場合には、事前に借主は詳細を文書によって貸主に提出し、書類による承諾を得ること。
The Lessee agrees that the installation of such decoration, remodeling, modification, and maintenance that are attached to the rental space are the property of The Lessor instantly and The Lessee has no right to claim any compensation from The Lessor.
借主は、本区画に設置された内装造作は貸主の所有であることを借主は承諾する。借主は借主から賠償を求めることは出来ない。
In case of The Lessor does not provide a written approval, The Lessee agrees to pay a fine to The Lessor at the rate of…………………………………….. Baht per day (……………………………………………………… Baht per day only) from the date of the breach of this agreement until the date The Lessee return the rental space to its original condition. The Lessor has the right to terminate this SPACE LEASE AGREEMENT with The Lessee immediately without prior notice.
貸主から文書による承諾を得ないで、借主が内装造作や改装を実施した場合には、借主は元の状態に戻し、その期間中の罰金を支払うことを同意する。
In case the contract ends for any reasons, The Lessor has the right to choose whether The Lessee returns the rental area in its current condition or the original condition as when it was first rented to The Lessee.
本契約がいかなる理由にせよ終了する場合、貸主は現在の状態または契約当初のスケルトンの状態で貸主が返却することを選択する権利を有する。
If The Lessor chooses that The Lessee returns the rental space in its original condition as when it was first rented to The Lessee, The Lessee will carry out the demolition to return the rental space to its original condition at his/her own expenses.
貸主が借主に対して当初の状態で返却することを選んだ場合、借主は借主の負担で原状回復工事を実施すること。
If The Lessee returns the rental space beyond the expiring date of the SPACE LEASE AGREEMENT or the date this SPACE LEASE AGREEMENT has been terminated, The Lessee agrees to pay a fine to The Lessor at the rate of………………………………………Baht per day (…………………………………………………………… Baht per day only) until The Lessee returns the rental space to The Lessor properly.
借主が本区画を本契約の期間を超えて返却した場合、罰金を支払うことを了承する。

3.8 The plan for electrical wiring and installation of gas, electrical appliances, and other equipment both internal and external that are connected to the rental space must be proposed to The Lessor by The Lessee first. Upon a written approval provided by The Lessor, The Lessee shall then carry out such activities as well as recruit only qualified technicians to do so.
本区画内部や外部に設置する電気配線、ガスの配管、電気使用設備、その他備品のプランは、借主から貸主に対して提出すること。貸主から文書による承諾を得てから実施すること。

3.9 The Lessee will not install water pipe or other pipes inside or outside the rental area unless given a written approval from The Lessor and/or the Premises Management Unit first.
借主は、本区画の給排水配管は貸主やビル管理会社の文書による承諾を得てから実施すること。

3.10 The Lessee assures that he/she will not install air conditioners, mechanical machines,electricity generator, or any other engines inside and outside of areas that are connected to the rental space unless given a written approval from The Lessor and/or the Premises Management Unit first.
借主は、本区画につなぎこまれるエアコンディション、機械設備、発電機などの設置は、貸主又はビル管理会社の文書による承諾を得てから実施すること。

3.11 The Lessee will not commit in actions or allow his/her representatives or employees to commit in actions which are harmful and cause annoyance to others or violate the laws regarding peace and moral of the people in the rental area. The Lessee will not engage in any activities in the rental area which cause light, noise, smell, or anything else intrusive to other Lessees’ rental areas or communal areas or disturb other Lessees, their clients, or the general public.
借主は、借主、借主の代理人や従業員が本区画内において他人に対して危険行為や迷惑行為をしないことを確約する。

3.12 The Lessee assures that he/she will engage in his/her business. He/She will not transfer the leasehold right to any persons or sublease or allow any other person to occupy and utilize all or part of the rental space, whether paid or unpaid, unless given a written approval from The Lessor first. In the case of The Lessor agrees to transfer the leasehold rights, The Lessee agrees to pay the lease transfer fee to The Lessor by the amount required by The Lessor.
借主は、自身のビジネスを実施すること。事前に貸主の文書による承諾がない限り、賃借権を第三者に譲渡や転貸しないこと。有料又は無料に関わらず第三者が本区画の全部や一部を占有したり使用したりさせないこと。貸主が賃借権の譲渡を了承した場合は、借主は貸主に対して譲渡承諾料を支払うこと。

3.13 The Lessee will not use the space beyond what is specified in this SPACE LEASE AGREEMENT.
借主は本契約書で規定された区画を超えて場所を使用しないこと。
If there is violations and The Lessor detects that The Lessee has occupied the area exceedingly to that specified in the SPACE LEASE AGREEMENT, The Lessee agrees to pay a fine resulting from the use of the exceeding space at the rate of …………………………………….. Bath per day (…………………………………………………Baht per day only) per square meter according to the period that the exceeding space has been occupied. The fine should be paid immediately upon receiving a notice.
使用した場合には罰金が適用される。
The lessor will provide the insurance for the site during the construction phase and when the service is available.
貸主は施設に対して建設段階に保険をかける。
The premiums are included in the service fee.If the cost of damage exceeds the amount of insurance coverage, The Lessee will be responsible for the cost of damage by himself/herself.
保険費用は、サービス費に含まれる。損害費が保険でカバーする金額を超えた場合は、借主は損害を負担すること。
However, The Lessee must insure his/her own property in order to protect his/her property for his/her own benefit throughout the term of this SPACE LEASE AGREEMENT.
借主は、賃貸借期間中は、自身の店舗の保険は自分でかけること。

3.14 The Lessee will pay income tax, withholding tax, stamp duty, signboard tax, property tax, and any other taxes as levied by the government in accordance with applicable law at present or in the future, which must be paid as a result of The Lessee’s income and business throughout the term of this SPACE LEASE AGREEMENT. In the event The Lessor pays those taxes on behalf of The Lessee, The Lessee will refund the full amount to The Lessor upon receiving a notice.
借主は、本契約の期間中の自社に課される税金は自分で支払うこと。
貸主が上記税金を借主の代理で支払った場合には、借主は全額を借主に返却すること。

3.15 The Lessee is entirely responsible for the payment of fees, stamp duty, and all other expenses incurred from this SPACE LEASE AGREEMENT or its registration. In the event The Lessor pays those fees on behalf of The Lessee, The Lessee will refund the full amount to The Lessor upon receiving a notice.
借主は本契約期間中または登録後に発生するすべての費用を支払うこと。貸主が上記税金を借主の代理で支払った場合には、借主は全額を借主に返却すること。

3.16 The Lessee will be responsible for the payment of the meter and its installation, electricity and telephone (direct or indirect lines) bills, communal fee, utility bills, service fee for telecommunications, communal premiums, and other expenses (if any) to The Lessor and/or the Premises Management Unit throughout the term of this SPACE LEASE AGREEMENT upon the due date immediately. In the event The Lessor pays those expenses on behalf of The Lessee, The Lessee will refund the full amount to The Lessor upon receiving a notice.
借主は、電気、電話、共益費、ガス水道料金、サービス料金等を貸主やビル管理会社に対して支払うこと。貸主が上記税金を借主の代理で支払った場合には、借主は全額を借主に返却すること。

3.17 The Lessee agrees to let The Lessor or his/her agents to inspect the rental area, what is attached or decorated, or all equipment in the rental area at any time. The Lessee, his/her employees or servants will always facilitate and accommodate The Lessor or his/her agents.
貸主又は代理人は、本区画内の諸設備の点検のために立ち入るこをと借主は了承し、協力する。

3.18 The Lessee will not install any banners or billboards, place, hang, post, obstruct, or put anything outside the rental area. If The Lessee commits such breach, The Lessor and/or the Premises Management Unit have the right to tear, dismantle, destroy, store, or remove such items immediately without liability for any damage to The Lessee.
借主は、本区画外に看板、広告等を設置しないこと。設置した場合は、借主やビル管理会社は撤去する権利を持つ。

3.19 The Lessee assures that he/she will maintain the cleanliness in the rental area and the exterior that connects with it.
借主は本区画内と本区画に隣接した外部を清潔に保つこと。
The Lessee will not litter garbage, sewage, used items, or any other litters.
He/She will put them in containers or places provided by The lessor and/or the premises management Unit.
ごみ等を放置しないこと。借主やビル管理会が提供するコンテナ等に入れること。
The Lessee assures that the rental area and utilities within the rental space are in good condition and are not damaged and The Lessee has inspected carefully already. The Lessee will maintain the rental area in good condition throughout the term of this SPACE LEASE AGREEMENT with his/her own resources.
借主は、本区画や設備を良好な状態に保ち、損害を与えないこと。

3.20 If The Lessee fails to pay any debt which he/she is obliged to pay as specified in this SPACE LEASE AGREEMENT or any debt incurred from his/her other debts, The Lessee agrees to pay interest at the rate of 15 percent (Fifteen Percent) per year from the date of default or due date until the payment is made to The Lessor.
借主が本契約に記載された負担すべき負債を支払わない場合、借主は年率15%の利率の損害賠償金を貸主に支払うこと。

3.21 The Lessor has the right to prohibit any individual whether an employee or a servant of The Lessee’s from entering the rental area or to demand him/her to leave the rental area as deemed appropriate. The Lessee has no right to argue or object in any cases.
貸主は、借主の特定の従業員が不適当と認められる場合は、本区画への立ち入りを禁止する権限を持つ。

3.22 Notices or other letters from The Lessor will be sent to The Lessee at the address specified in this SPACE LEASE AGREEMENT or at the rental area either by postal mail, electronic mail, or by posting such notices or letters or in case of an agent or employee of The Lessee’s sign the receipt of the delivery of such notices or letters.
貸主から借主への通知や文書は本契約書に記載された住所または本区画へ郵便、電子メールで送付される。

It shall be deemed that The Lessee has received and is aware of such notices and letters immediately upon the delivery via either postal mail or electronic email, whether there is a recipient or not, or as soon as such notices or letters are posted, or The lessee’s agent or employee signs the receipt of the delivery. It is deemed as a lawful notice already.
借主が受け取る場合やそのような連絡や手紙が郵便や電子メールで送付された時、又は借主の代理人や従業員が受け取りのサインをした場合には、通知は合法的である。

3.23 At any time throughout the term of this SPACE LEASE AGREEMENT, if The Lessor wishes to reclaim the entire rental space, or a part of it, or to renovate other rental areas of The Lessor as a whole or parts of it, The Lessee agrees to let The Lessor terminate the SPACE LEASE AGREEMENT with at least one month prior notice in case of reclaiming all rental areas. In case of reclaiming only parts of rental areas, The Lessee agrees to return the rental area to The Lessor within one month after being notified of the request to reclaim parts of the rental areas from The Lessor.
本契約の期間中、借主が本区画の全部または一部を解約したい場合、又は本施設の他の場所に移転したい場合は、借主は貸主に対して本契約の解約を少なくとも1か月前に通知することを承諾する。本区画の一部の解約の場合には、その部分を通知後、一か月以内に返還する。

3.24 The Lessee assures that the rental space is used for business operations every day. If The Lessee wishes to discontinue or close the business, The Lessee must give a prior written notice to The Lessor and receive a written approval by The Lessor first. If The Lessee abandoned the rental area or ceased operations of the business without the prior written approval of The Lessor’s, it is considered The Lessee’s breach of this SPACE LEASE AGREEMENT. The Lessor has the right to terminate the SPACE LEASE AGREEMENT without prior notice.
借主は、本区画の営業を毎日実施すること。営業を停止する場合には、貸主に文書で通知し、事前に貸主の文書による承諾を得ること。
文書による承諾なしに営業を停止した場合は、本契約違反になり、貸主は本契約を終了する権限を保有する。

3.25 The Lessee agrees to allow The Lessor and/or the service provider and/or the Premises management Unit to refrain from providing services to The Lessee if The Lessee owes rent, service fee, or other expenses.
借主が賃料、サービス費、その他支払を行わなかった場合には、貸主、サービス供給者、ビル管理会社が貸主へのサービスの供給を停止する権限を持つことを承諾する。

Clause 4. Termination and Default
契約解除と契約不履行

4.1If The Lessee defaults on one or more of the agreement, or has become insolvent, or is held in custody or his/her property is seized or falls to the execution, The Lessor has the right to terminate the SPACE LEASE AGREEMENT without prior notice.
借主の本契約の一部の不履行の場合、又は支払不能状態になった場合、又は法的管理の場合、又は差し押さえの場合や強制執行の場合は、貸主は本契約の解除の権限を持つ。

4.2 In the case of a lease due to the lease term and there is no renewal of this SPACE LEASE AGREEMENT, this agreement shall be deemed to terminate immediately.
リース期間が終了し、更新が行われなかった場合には本契約は終了する。

4.3 In case of fire or other disaster which causes damage or lost to the rental premises resulting indisability to operate business at the rental area, this SPACE LEASE AGREEMENT shall be deemed to terminate immediately.The Lessee has no right to claim any damages from The Lessor.
本区画がある施設が、火災、天変地異にあって、本区画でビジネスを継続できなくなった場合には、本契約は終了する。借主は、貸主に損害賠償を請求することは出来ない。

4.4In the case of government expropriation the building of the rental space, or Bangkok Metropolitan Administration has a ban on use of rental area, this SPACE LEASE AGREEMENT shall be deemed to terminate immediately. The Lessee has no right to reclaim advance rent and any other payments made by The Lessee from The Lessor. In addition, The Lessee has no right to claim any damages from The Lessor either.
政府が本区画を含む建物を収容した場合は、バンコク政府が本区画の使用を禁止した場合は、本契約は終了する。借主は、貸主に前家賃の返還を請求することは出来ない。
借主は、貸主に損害賠償を請求することは出来ない。

4.5 When this SPACE LEASE AGREEMENT ends, whether due to the lease term or The Lessor exercises the right to terminate the contract because The Lessee breaches this contract, this SPACE LEASE AGREEMENT shall be deemed to terminate immediately.
本契約が賃貸借期間が満期となって終了する際、又は借主が契約違反を侵したことにより貸主が契約解除の権限を行使した場合は、本契約は終了する。

The Lessee must move his/her property and his/heremployees/servants out of the rental area and return the space which has been repaired or renovated to its original condition as when it was first rented to The Lessee or in its current condition as deemed appropriate by The Lessor.
借主は、本区画から借主の所有物を移動し、従業員も退去し、本区画を当初の状態に原状回復するかまたは貸主によって適当であると考えられる現在の状態にて返却すること。

The Lessor has inspected and received the rental area from The Lessee already within the expiry date of this SPACE RENT AGREEMENT or on the date The Lessor terminate this SAPCE LEASE AGREEMENT or when this SPACE LEASE AGREEMENT is deemed to terminate immediately.
借主は、本契約の終了する期限日までに本区画を返却し、貸主は本区画を点検して、受け取る。

If The Lessee fails to move his/her property and his/heremployees/servants out of the rental area, The Lessee agrees to allow The Lessor the right or to exercise one or more rights as follows. The Lessee will not have the right to object nor claim for damages nor entitled to both civil and criminal litigation with The Lessor.
借主が、期限までに所有物を移動できなかった場合は、貸主が次の権限を行使することを承諾する。借主は抵抗することはや損害に対してクレームすることはできない。

4.5.1 It is assumed that the right to lease the rental area immediately returns to The Lessor. 期限までに本区画を返却しなかった場合の罰金に関して
If The Lessor cannot occupy the rental area, The Lessee agrees to pay a penalty to The Lessor at the rate of ………………………………………. Baht per day (…………………………………………… Baht per day only) per square meter from the date this LEASE SPACE AGREEMENT is terminated.

4.5.2 The Lessor or his/her agent has the right to demolish, or destroy items that obstructs the entrance, locks, or other protections, or remove other property from the rental area. The Lessee is responsible for all expenses of moving and/or storing of such property. In case The Lessee has overdue debt, The Lessee agrees to waive the right to the property to The Lessor, with the property transferred to The Lessor.The Lessee agrees to let The Lessor sell or transfer such property by other means to repay the debt. In addition, The Lessee is solely still responsible for any costs that are results of the repair of the rental area to its original condition.

4.5.3 The Lessor has the right to lock the door and prevent The Lessee from entering the rental area. 期限までに本区画を返却しなかった場合の措置
4.5.4 The Lessor has the right to lease the rental area to a new lessee immediately 新しい入居者
4.5.5 The Lessor has the right to discontinue to provide the services such as electricity, gas, water, telecommunication, coolant in air conditioner, and/or other services at the rental area. 期限までに本区画を返却しなかった場合の措置、電力等
4.5.6 The lessor has the right to claim damages or expenses that may incur until The Lessee moves his/her property and employees or servants out of the rental area.
期限までに本区画を返却しなかった場合の措置
4.6 Upon the end of the SPACE LEASE AGREEMENT, The Lessor is pleased to renew the agreement with The Lessee for 3 years.
本契約が3年経過後に終了した場合、貸主は、借主が次の3年間の契約を更新することを歓迎する。
The rent will be increased by 10 percent per 3 years (Ten Percent per Three Years).
賃料は、3年毎に10%以内で増加する。
The Lessor reserves the right to adjust the rent.
貸主は、賃料を調整する権限を持つ。

Clause 5. Default and Renewal
In the event that The Lessee defaults on rent, communal fee, and service fee payment or breach of the agreement in one of the cases,
The Lessee agrees to let The Lessor or his/her agent lock the door or close the rental area and refrain The Lessee from entering the rental area as well as discontinue the provision of services such as electricity, gas, water, telecommunication, coolant in air conditioner, and other services at the rental area. The Lessee agrees not to reclaim any damages or loss of benefits from The Lessor.
借主が賃料、共益費、サービス費の支払いを不履行の場合や本契約書に違反した場合、貸主又は代理人が入口をロックすること又は本区画を閉鎖し、借主が本区画に入れないようにすること、電気、ガス、水道、電話、エアコンなどのサービスを停止することを了承する。
When The Lessor does not exercise or delay his/her exercise of his/her rights as specified in this SPACE LEASE AGREEMENT entirely or partly, it is not considered that The Lessor waives his/her rights. 不履行の場合
When The Lessor accepts the rent and other payment, it does not mean that The Lessor waive his/her right to take action on breach of agreement or its terms and conditions or other prohibitions specified by The Lessor. 不履行の場合
If The Lessee does not breach this agreement or terms and conditions of the lease and wishes to continue leasing the rental area after then end of term of the agreement, The Lessee must inform the lessor of the lease request in writing at least 90 days before the contract expires.
本契約条項に違反がなく、借主が賃貸契約の継続を希望する場合は、借主は、貸主に対して契約終了の少なくとも90日前までに貸主に通知すること。
Both parties must agree on the rental period, the rental rate, and the terms and conditions of the contract to be renewed. The agreement must be completed before the expiration of this SPACE LEASE AGREEMENT.
貸主と借主は、更新する賃貸期間、賃料、契約条件について合意しなくてはならない。

Clause 6. Adjustment and Renewal  更新契約
6.1 The settlement agreement in other forms of payment or check payment for debts and/or other expenses.
負債や債務がある場合は、支払方法について合意を取り付けること。
6.1.1 In case that The Lessee wishes to settle debts, rent, service fee, and/or other expenses in other form of payment such as electronic cards, cash cards, check payment and/or other means besides cash, it must be paid immediately upon the agreed date whether in writing or verbal.
借主が負債、賃料、サービス費、その他債務を電子的カード、キャッシュカード、小切手、その他、現金以外の方法で決済しようとする場合は、合意された日程までに支払を完了させること。

In case that The Lessor cannot collect the payment or the check is denied, The Lessee must immediately pay in cash instead upon the due date or no later than 10th of the month.
貸主が支払を確認できない場合又は小切手が通用しなかった場合は、借主は、期限日までに現金で支払うこと又はその月の10日目までに支払うこと。
In case of overdue, The Lessee agrees to pay the fine at the rate of ………………………… Baht per day (………………… Baht per day only)
支払期限までに支払うことができなかった場合の罰金について。
Incidentally. The Lessor reserves the rights to change the due date later as deemed appropriate.
貸主は、適当と思われる日まで期限日を遅らせる権限を持つ。
Clause 7. Dispute 紛争
In the event of any dispute between the parties hereto with respect to this agreement or the performance of this agreement and the parties cannot agree, such dispute shall be proposed to the Thai court in Bangkok with main consideration on the agreement in Thai language.
貸主と借主の間で紛争が起きた場合は、バンコクのタイ裁判所で処理する。
